PREAMBLE

Sunshine Destiny Ministries (SDM) is a Five-Fold Ministry (according to Ephesians 4: 11-12) committed to advancing the Kingdom of God through teaching, community transformation, and equipping believers for individual ministry assignments.

SDM OPERATING GUIDE

Section 1: Divine Leadership and Guidance

Sunshine Destiny Ministries (SDM) operates under the authority of the Holy Bible with the New Testament as the rule and practice under direction of the Holy Spirit.

The leadership of the SDM Apostolic Oversight Board (SAOB) shall serve as the spiritual oversight and primary authority of the ministry.

All programs, ministries, and projects are prayerfully initiated and executed in accordance with the Lord’s leading.

Section 2: Organizational Flow

The SDM Overseer and the SDM Ministry Board (SMBO) shall provide vision, direction and oversight for all SDM ministries.

The Secretary of SDM Ministry Board shall carry out all ministry directives of the SDM Overseer and SDM Ministry Board (that is implementing all directives and coordinating communication across all ministries).

The SDM Management Board (SMB) handles administrative, legal, assets and financial governance.

All SDM Sancturary of Hope Fellowships (churches) and ministries shall function under the direction of the SDM Management Board (matters relating to legal, financial,  administrative). The SDM Ministry Board handles all ministry matters. All Sancturary of Hope Fellowships (churches) and ministries must submit their annual reports or when required (financial and ministry) to the relevant Boards. The SDM Ministry Board oversees all ministry activities, training, and spiritual programs.

Section 3: Operational Conduct

All SDM operations, events, and communications must uphold the ministry’s core values of integrity, excellence, accountability, and unity in Christ.

Every leader or volunteer shall operate within his or her designated role,

maintaining order, respect for authority, and compliance with SDM policy.

Section 4: Appointments and Authorizations

All official ministry appointments shall be announced and confirmed by the SDM Overseer in writing. 

The announcement of acceptance is by a flyer and shall serve as the initial step. After a period of six months or more, an official appointment letter will be issued to confirm the incumbents in their respective leadership roles.

No independent appointment, announcement, or representation may be made in the name of SDM without written authorization from the SDM Overseer.

Section 5: Reporting and Coordination

Every SDM department, fellowship, and project must submit periodic reports to the appropriate SDM Management Board and SDM Ministry Board.

Regional and international works shall remain connected through the SDM Family Group and other communication channels.

The SDM Executive Secretary ensures consistency, coordination, and timely documentation of ministry activities. 

Section 6: Accountability and Review

All ministry actions and financial transactions are subject to review by the SDM Management Board under the supervision of the SDM Overseer.

Regular evaluations shall be conducted to ensure SDM’s vision and standards are maintained globally.

Section 7: Spiritual Commitment 

Every SDM leader, member, and volunteer shall demonstrate a lifestyle of prayer, holiness, and service, reflecting the heart of Christ in all ministry engagements. 

These Bye-Laws establish the operational, spiritual, and administrative framework of SDM in Malaysia and globally, in accordance with biblical principles and organizational integrity.


ARTICLE I – NAME & AFFILIATION, IDENTITY & PURPOSE

Section 1: Name & Affiliation

The name of this organization shall be called Sunshine Destiny Ministries (SDM).

SDM is a legally registered ministry with The Apostolic Faith Church (AFC) by affiliation (PPM-005-10-14082015).

All activities, programs, and policy shall reflect biblical values and SDM’s

unique apostolic and prophetic mandate.

Section 2: Identity

SDM is a Christian apostolic and prophetic ministry network comprising affiliated churches, ministries, and community fellowships operating under the SDM Framework.

The SDM Framework is the God-designed pathway that leads every believer from calling to commissioning, and from commissioning to fruitful ministry.

It ensures clarity, accountability, and spiritual effectiveness in each believer’s Individual ministry assignment.

Through the SDM Framework, believers are:

Called – their God-given assignment is recognized, affirmed, and awakened. The SDM Framework helps you see what God has already deposited in you. It brings clarity to your purpose, aligns your heart with God’s direction, and positions you to understand why you are in SDM at this moment of your spiritual journey.

Trained – they receive biblical grounding, practical ministry skills, and intentional character formation. Through teachings, responsibilities, mentorship, and the rhythm of the SDM Framework, they grow in spiritual maturity. This training shapes their attitudes, strengthens their convictions, and prepares them to serve with excellence and humility.

Released – they carry out their ministry with confidence, clarity, and God-given purpose. After being called and trained, believers are entrusted to serve. The SDM Framework releases them to function effectively in their areas of gifting—bringing impact, building lives, and fulfilling their individual ministry assignment with assurance and maturity.

Supported – they receive ongoing oversight, mentoring, and spiritual guidance. The SDM Framework ensures that no believer walks alone. Through consistent follow-up, pastoral care, and leadership oversight, they grow safely and steadily. This support strengthens them, corrects them when needed, and helps them remain aligned with God’s purpose for their ministry.

Multiplied – they develop others and expand the work of Christ through their influence and ministry. The SDM Framework produces believers who do not only grow personally but also help others grow. As they reproduce their faith, values, and ministry skills in others, the impact of Christ’s work increases—extending the reach of SDM and advancing the Kingdom.

   4. In essence:

The SDM Framework equips, commissions, and sustains every believer so they can fulfil their God-given ministry and advance the Kingdom with excellence.

Section 3: Purpose

The purpose of SDM shall be to:

Promote the Christian faith, leadership, and prophetic ministry worldwide.

Provide ministerial training, ministry certification, and credentialing.

Establish Christian fellowships such as Sanctuary of Hope (SOH).

Conduct Bible education through SDM School of Ministry (SSM).

Promote charity and humanitarian works.

Foster unity, growth, and accountability among SDM ministers and affiliates.


ARTICLE II – STATEMENT OF FAITH

Section 1: SDM adheres to the following core beliefs. We believe:

The Bible is the inspired Word of God and the final authority for faith and
conduct.

There is one God, eternally existent in three persons: Father, Son, and Holy Spirit.

Salvation is through faith in Jesus Christ alone.

The spiritual gifts of the Holy Spirit and the ministry gifts operate of the Lord in the Church today. 

Spiritual Gifts are supernatural abilities given by the Holy Spirit to all believers to build up and edify the Church.

Ministry Gifts (Fivefold Offices) are callings and leadership roles given by Christ to specific individuals to equip, guide, and mature the Church.

The Church is the Body of Christ, called to disciple nations.

The Second Coming of Christ is imminent.


ARTICLE III – GOVERNANCE

Section 1: Supreme Authority

The supreme ministry governing authority of SDM shall be the SDM Apostolic Oversight Board (SAOB) and the SDM Overseer. The SDM Overseer is accountable to God and the SDM Apostolic Oversight Board for vision, doctrine, and spiritual direction.

The SDM Apostolic Oversight Board shall consist of the SDM Overseer and the SDM Executive Secretary. The appointment of any additional members to the SDM Apostolic Oversight Board is at the sole discretion of the SDM Overseer.

Section 2: SDM Management Board

The SDM Management Board is the main administrative body of Sunshine Destiny Ministries. It oversees all administrative, financial, and organizational matters and ensures compliance with SDM policy, governance standards, and financial accountability under the direction of the SDM Overseer.

The Board is directly accountable to the SDM Apostolic Oversight Board, which also has the authority to remove any member who acts disorderly or contrary to Scripture and the SDM Bye-Laws.

Section 3: SDM Oversight Structure

All SDM entities operate under the spiritual oversight of the SDM Apostolic Oversight Board. It may appoint national or regional leaders as recommended by the SDM Overseer.


ARTICLE IV – ORGANIZATIONAL STRUCTURE 

& RELATIONSHIP FRAMEWORK OF SDM

Section 1: SDM Overseer (Spiritual & Executive Head), or SDM General Overseer title may be used for ministry purposes.

The SDM Overseer holds the highest spiritual and executive authority in SDM.

The SDM Overseer provides overall direction, vision, and doctrinal guidance for all SDM operations.

The SDM Overseer provides governance, and spiritual leadership.

The SDM Overseer chairs the SDM Management Board and SDM Ministry Board.

The SDM Overseer serves as the final approving authority with SDM Ministry Board for ministry policy, appointments, and disciplinary actions.

The SDM Overseer appoints and removes SDM Management Board and SDM Ministry Board members, department heads, and ministry leaders after consultation with the relevant Boards.

The SDM Overseer approves ministry operations, budgets, and affiliations.

The SDM Overseer is supported by an SDM Executive Secretary in carrying out executive and administrative responsibilities.

All official ministry approvals, appointments, movements, designations, or recognitions within SDM shall be announced and confirmed by the SDM Overseer after consultation with relevant Boards. In this case, the SDM General Overseer title may be used. This includes appointments to SDM Management Board and SDM Ministry Board, departments, Sanctuary of Hope fellowships, and any SDM-affiliated ministries, whether local or international.

Section 2: SDM Executive Secretary

The SDM Executive Secretary assists the SDM Overseer in implementing SDM’s vision, directives, and communications.

The SDM Executive Secretary co-ordinates official correspondence, documents, and schedules of SDM Overseer.

The SDM Executive Secretary acts as liaison between the SDM Overseer and all SDM Management Board, SDM Ministry Board, Departments, and Ministries.

The SDM Executive Secretary ensures that official records, reports, and ministry activities are properly documented.

The SDM Executive Secretary may represent SDM Overseer in meetings or events when delegated.

Section 3: SDM Treasurer

1. Establishment

The SDM Treasurer shall serve as the principal financial officer of Sunshine Destiny Ministries (SDM).

This office is responsible for the oversight, management, and stewardship of all SDM funds and financial records under the authority of the SDM Overseer and the SDM Management Board.

2. Appointment

The SDM Treasurer shall be appointed by the SDM Overseer and then serve on the SDM Management Board.

The term of service for the SDM Treasurer shall be three (3) years, and extended for two (2) additional years, subject to the Extension & Termination Clause.

Either party has the option to terminate the appointment at any time, provided a written notice is served.

3. Duties and Responsibilities

The Treasurer shall:

Maintain accurate records of all financial transactions of SDM.

Supervise the receipt, custody, and disbursement of SDM funds in accordance with approved budgets.

Ensure proper documentation and timely banking of all ministry funds.

Prepare monthly, quarterly, and annual financial statements for review by the SDM Management Board.

Present financial reports to the SDM Apostolic Oversight Board and ensure transparency and accountability.

Ensure compliance with the SDM Financial Policy and local legal requirements.

Support financial planning for SDM projects, programs, and events.

Safeguard all financial instruments, vouchers, and documents.

Cooperate with internal or external audits as directed by the SDM Overseer.

4. Financial Authority and Limitations

All routine transactions and major expenditures or transfers require written

approval from the SDM Overseer.

The SDM Treasurer shall not make personal use of SDM funds or authorize any payments.

Any misuse or mismanagement of funds shall be subject to investigation and disciplinary measures.

5. Reporting and Accountability 

The SDM Treasurer reports directly to the SDM Overseer and the SDM Management Board.

All financial statements, cash books, and reports must be submitted for periodic review.

The SDM Treasurer shall maintain confidentiality and integrity in handling

financial data.

6. Vacancy and Replacement

In the event of resignation, incapacity, or removal of the SDM Treasurer, the SDM Management Board may appoint one of their members to fill the vacant position. Or call for an Extraordinary Meeting of its members to elect a new Treasurer. The outgoing SDM Treasurer must hand over all financial records and assets within fourteen (14) days of departure.

7. Ethical Standards

The SDM Treasurer must demonstrate honesty, diligence, and spiritual maturity.

Financial management shall reflect biblical stewardship and excellence in administration.

Any conflict of interest must be declared immediately to the SDM Overseer.

Section 4: SDM Management Board (Administrative & Policy Governance)

The SDM Management Board serves as the principal administrative body of SDM.

The SDM Management Board handles administrative, financial, and organizational matters of Sunshine Destiny Ministries.

The SDM Management Board ensures compliance with SDM’s policy, governance standards, and financial accountability as directed by the SDM Overseer.

The SDM Management Board oversees ministry departments and boards for policy alignment and reporting.

The SDM Management Board shall consist of seven (7) members chosen from among its registered members and then appointed by the SDM Overseer.

The composition of the SDM Management Board shall include the Chairman, Secretary, Treasurer and Four(4) Board Members with portfolios.

The term of service for SDM Management Board shall be three (3) years and may be extended for another (2) years, subject to the Extension & Termination Clause.

The SDM Management Board reports directly to SDM Overseer and  the Apostolic Oversight Board.

Section 5: SDM Ministry Board (Ministerial & Program Co-ordination)

The SDM Ministry Board (or SDM Ministry Council may be used for Letter of Authorization for Sanctuary of Hope) oversees and supports SDM departments and ministry projects.

The SDM Ministry Board co-ordinates training, conferences, and spiritual activities.

The SDM Ministry Board responsible for executing ministry activities, training programs, and outreach initiatives.

The SDM Ministry Board oversees SDM Family Group, Prophetic Conferences, Sanctuary of Hope fellowships, and etc.

The SDM Ministry Board oversees and supports SDM departments and ministry projects.

The SDM Ministry Board reports spiritually to SDM Overseer and administratively to the SDM Management Board.

The SDM Ministry Board shall consist of seven (7) members, appointed by the SDM Overseer.

Members of the SDM Ministry Board shall serve on a voluntary basis for a term of three (3) years, renewable for two (2) years, subject to the Extension & Termination Clause.

The SDM Overseer may make additional temporary appointments to the SDM Ministry Board for specific projects or ministries as necessary. 

Section 6: SDM Ministry and Social Works Departments

SDM Ministry and Social Works Departments operate under the direction of SDM Ministry Board and include:

ARTICLE V – MEMBERSHIP

Section 1: Membership Definition

Membership in Sunshine Destiny Ministries (SDM) shall consist of individuals who align themselves with the vision, values, and objectives of SDM. 

Membership does not constitute a legal partnership or incorporation, but a voluntary spiritual and ministry-based association:

It signifies a believer’s personal commitment to walk together with SDM in unity of purpose, shared values, and ministry goals. Members participate out of willingness, faith, and conviction—not because of any legal or contractual obligation. This association is built on mutual trust, servant-leadership, and a shared calling to serve the Lord, while respecting that each member retains their individual autonomy, identity, and responsibilities outside of SDM.

In other words, even though they are recognised as members of SDM, they retain full freedom to continue worshipping, serving, and fulfilling all obligations in their own home churches. SDM membership does not replace their church affiliation; instead, it complements their spiritual journey by providing additional avenues for growth, ministry development, and service. Members are encouraged to remain committed to their local churches while participating in SDM’s vision and activities as a voluntary extension of their ministry.

Section 2: Eligibility

Any individual or ministry committed to the teachings of Jesus Christ, and who supports the prophetic, apostolic, and community vision of SDM, may apply to become a member, an individual or ministry must submit a completed “Application for Voluntary Service Form” to the SDM Executive Secretary for review and approval. Once accepted and approved as members, they automatically are added to the SDM Family Group.

Members shall serve on a voluntary basis for a term of three (3) years, renewable for two (2) years, subject to the Extension & Termination Clause.

Section 3: Membership & Contribution

Membership in SDM is spiritual and functional in nature. Members are recognized by their participation, support, and alignment with the SDM framework and its ongoing activities. 

Annual Member Contribution of RM24 per year, especially for those applying for voluntary service. In SDM, sacrifice and selflessness are key components of our SDM culture.

The Annual Member Contribution is a yearly financial commitment made by each member of an organization, community, or ministry. Its purpose is to support the operations, development of programs, member welfare, and the overall sustainability of the organization’s vision and mission.

This contribution is a small seed with great impact. By giving this annual contribution may help advance the ministry’s calling to train, equip, and support believers globally. 

This contribution would be collected when the applicant successfully joins SDM, and thereafter on the first week of January every year.

Section 4: Rights of Members

Members shall have the right to:

Participate in SDM activities, programs, and gatherings;

Receive ministry development and mentorship under the SDM framework;

Represent SDM in approved ministry functions and community initiatives;

Access SDM resources and communication channels as appropriate.

Is being a member automatically become a leader in SDM? No!

Membership in SDM does not automatically confer leadership status, even if individuals have previously been given leadership titles by SDM for their own personal ministries.

Within SDM, leadership recognition follows a clear and structured process. Every aspiring leader must complete the SDM Framework, and only upon fulfilling the final stage—the Commissioning of Leaders—is a member formally recognised and authorised as an SDM Leader.

Section 5: Responsibilities of Members

Members are expected to:

Uphold the spiritual values, mission, and integrity of SDM;

Demonstrate loyalty, accountability, and respect toward the ministry and its representatives;

Participate in prayer, fellowship, and mutual support with other SDM members;

Contribute voluntarily to the growth and sustainability of SDM through service, giving, or collaboration.

Section 6: Membership Termination

Membership may be discontinued voluntarily or by decision of the SDM leadership when:

A member withdraws participation;

Conduct inconsistent with SDM’s spiritual or ethical standards is observed;

There is prolonged inactivity or misrepresentation of SDM’s name or mission.

Section 7: Reinstatement of Membership

Any person whose membership has been discontinued may apply for reinstatement after 6 months from the date of release subject to review and approval by SDM Overseer.

Section 8: Non-Transferability

Membership in SDM is personal and non-transferable. No member may assign or delegate their membership rights or privileges to another person or organization.

Section 9: Eligibility Exemption for Admission to SDM

Notwithstanding any stated eligibility requirements for admission into Sunshine Destiny Ministries (SDM), the SDM Apostolic Oversight Board (SAOB), reserves the right to grant an exemption, in whole or in part, to any applicant where such admission is deemed consistent with the vision, values, and ministry objectives of SDM.

Such exemptions may be considered under, but are not limited to, the following circumstances:

1. Divine Calling and Spiritual Discernment

Where an applicant demonstrates a clear personal calling, spiritual maturity, or ministry mandate that aligns with the SDM Framework, as discerned through prayerful evaluation and apostolic oversight.

2. Unique Ministry Contribution

Where the applicant possesses distinctive gifting, experience, or ministry capacity that contributes meaningfully to the SDM ecosystem, notwithstanding the absence of certain formal qualifications or standard prerequisites.

3. Transitional or Developmental Status

Where the applicant is in a season of spiritual, ministerial, or leadership development, and admission into SDM is determined to serve as an equipping and nurturing platform rather than a credential-based endorsement.

     4.  Pastoral or Strategic Considerations

Where pastoral care needs, mission advancement, or strategic ministry alignment warrant an exemption in the best interest of both the applicant and the wider SDM Family.

Any eligibility exemption granted does not constitute automatic endorsement, ordination, commissioning, or permanent appointment within SDM. All admissions granted under exemption remain subject to ongoing accountability, review, alignment with SDM values, and compliance with SDM governance policies.

The decision of SDM Apostolic Oversight Board (SAOB), to grant or withhold any eligibility exemption shall be final.


ARTICLE VI - DURATION OF VOLUNTARY SERVICE AND EXTENSION & TERMINATION CLAUSE

The duration of voluntary service in SDM — including service on the SDM Management Boards and SDM Ministry Council, departmental leadership, and ministry coordination — shall be three (3) years, renewable for an additional two (2) years upon review and approval by the SDM Overseer.

Renewal of service shall be based on performance, faithfulness, and continued alignment with SDM’s vision and standards.

All renewals, extensions, and terminations are subject to the Extension & Termination Clause as determined by the SDM Overseer.

The Extension & Termination Clause: 

The SDM Overseer reserves the right to:

Extend an appointment beyond the 3-year standard term for ministry service and continuity.

Terminate any voluntary service before the end of the term if deemed necessary for cause, misconduct, or reorganization.

Either party — the volunteer or SDM — has the option to terminate the service at any time, provided that a written notice is served in advance to the other party.

Upon completion or termination of service, all SDM documents, and properties must be returned to the SDM Administration Office.

Section 2: SDM Family Group

1. Definition

The SDM Family Group (SFG) is a special ministry unit within Sunshine Destiny Ministries (SDM) established to nurture, connect, and strengthen all SDM members, partners, and affiliated ministers as one united family under SDM.

2. Leadership

The SDM Family Group is led by the SFG Overseer, appointed by the SDM Overseer.

The SFG Overseer reports directly to the SDM Overseer and works in coordination with the SDM Ministry Board.

3. Objectives

To build spiritual and relational unity among all SDM-affiliated members and ministries.

To organize the SDM Family Conference and other fellowship programs under SDM supervision.

To provide a platform for encouragement, testimony sharing, and ministry growth among members.

To serve as the communication bridge between the SDM leadership and individual ministers or ministry groups globally.

To promote accountability, discipleship, and mutual support across the SDM community.

4. Composition

The SDM Family Group includes:

SDM-affiliated ministers and pastors

SDM ministry leaders and coordinators

Members of SDM-owned and individual-owned ministries under SDM Fellowship

SDM Ministry Leaders and local representatives in each country or region

5. Activities

Family Conference: Main gathering for all SDM Family members for ministry reports, inspiration, and prayer.

Regional Fellowships: Country or regional fellowship events led by designated SDM Family representatives.

Training & Mentorship: Sessions for leadership growth, spiritual maturity, and ministry development.

Communication Network: Online and physical channels to keep the SDM Family connected worldwide.

6. Accountability

The SDM Family Group operates under the direct oversight of the SDM Overseer.

All programs, events, and financial matters must be approved through the SDM Ministry Board.

The SFG Overseer shall submit reports to the SDM Overseer and the SDM Management Board periodically.

Section 3: SDM Prophetic Conferences & Seminars 

1. Purpose

The Prophetic Conferences & Seminars of Sunshine Destiny Ministries (SDM) are established to equip the Body of Christ with spiritual insight, prophetic understanding, and practical ministry skills.

2. These gatherings aim to:

Strengthen believers in the Word of God and the ministry of the Holy Spirit.

Build up prophetic discernment, prayer, and spiritual maturity within the ministry.

Provide a platform for teaching, training, and activation of spiritual gifts for ministry service.

Encourage unity and collaboration among ministers and churches within the SDM Family Group.

3. Authority and Oversight

All SDM Prophetic Conferences & Seminars shall operate under the authority of the SDM Overseer.

The programs shall be managed by the SDM Director of Prophetic Ministry, in collaboration with the SDM Ministry Board.

The SDM Overseer shall approve all speakers, themes, and schedules for SDM Prophetic Conferences & Seminars. 

4. Functions

Plan and organize national prophetic gatherings and seminars.

Collaborate with SDM departments, churches, and the SDM Family Group to host conferences.

Ensure all activities maintain spiritual alignment with SDM doctrine and operational policy.

Manage budgets, registrations, and resources in coordination with the SDM Management Board.

5. Local Prophetic Conferences & Seminars

Local prophetic gatherings conducted under SDM shall be recognized as SDM Local Prophetic Conferences & Seminars.

These events shall be organized under the oversight of the SDM Director of Prophetic Ministry.

Local Conferences shall adhere to SDM’s prophetic, spiritual, and operational guidelines.

The themes, speakers, and programs must receive prior approval from the SDM Overseer.

Reports and feedback from local conferences shall be submitted to the SDM Ministry Board through the SDM Director of Prophetic Ministry.

6. Reporting & Accountability

The SDM Director of Prophetic Ministry shall submit consolidated event and financial reports to the SDM Ministry Board and the SDM Overseer.

All conference materials, recordings, and publications remain the property of Sunshine Destiny Ministries (SDM).

Section 4: SDM Ministry Certification & Commissioning 

1. Purpose

The Certification and Commissioning ministry of Sunshine Destiny Ministries (SDM) exists to recognize, equip, and release individuals who have completed approved SDM training or have demonstrated faithful service and calling in Christian ministry.

The process affirms spiritual maturity, doctrinal soundness, and readiness for ministry within the SDM framework and the wider Body of Christ.

2. Authority and Oversight

The Certification and Commissioning process operates under the authority of the SDM Overseer, through the SDM Credentials Committee and the SDM SDM Ministry Board.

The SDM School of Ministry serves as the official training arm to prepare candidates for certification and commissioning.

All commissioning ceremonies and recognitions shall be announced and conducted by the SDM Overseer.

3. Certification

Certification shall be granted to candidates who have successfully completed approved SDM courses, training programs, or ministry evaluations.

All certificates issued shall bear the official SDM seal and the authorised signature of the SDM Overseer, the Secretary of the Credentials Committee, or any designated member, together with a presbyter.

Certification does not automatically imply ministerial office but signifies readiness and qualification for service under SDM or in the Body of Christ.

4. Commissioning

Commissioning shall be the formal act of ministerial appointment or recognition conducted by SDM under the direction of the SDM Overseer. The SDM Overseer may conduct the formal commissioning ceremony or invite an elderly servant of God to conduct the commissioning ceremony.

Those commissioned shall be issued an official SDM Commissioned Minister Certificate and may receive a Minister Identification (Credential) Card as proof of SDM oversight.

A commissioned minister may be assigned to serve in an SDM ministry, affiliated church, or individual ministry project recognized by SDM.

5. Eligibility & Conduct

Candidates for certification or commissioning must:

Be born again and demonstrate a consistent Christian lifestyle.

Subscribe to SDM’s statement of faith and doctrinal values.

Be recommended by the SDM School of Ministry, SDM Ministry Board, or their local ministry overseers.

Commissioned ministers are required to uphold integrity, humility, and    accountability in all areas of ministry life.

6. Records & Reporting

The SDM Credentials Commttee shall maintain a central register of all certified and commissioned ministers.

Any revocation, suspension, or renewal of credentials shall be determined by the SDM Overseer in accordance with SDM policy.

All records of certification and commissioning shall be documented and preserved for ministry accountability.

Section 5: SDM Sanctuary of Hope Fellowships

1. Establishment

The Sanctuary of Hope (SOH) Fellowships are community-based Christian gatherings established under the authority of Sunshine Destiny Ministries (SDM).

They serve as local fellowships to nurture believers, strengthen the faith community, and extend SDM’s ministry reach within cities, towns, and nations.

2. Purpose

To provide a Christian community fellowship where believers can grow in faith, love, and service.

To promote spiritual formation, discipleship, and ministry involvement.

To extend the work of SDM through evangelism, outreach, and community engagement.

To function as a spiritual home for individuals, families, and ministry partners associated with SDM.

3. Authority and Oversight

Each Sanctuary of Hope Fellowship operates under the authority of the SDM Overseer.

The SDM Overseer shall appoint and announce the SOH Overseer and, where applicable, the SOH Pastor.

The SOH Overseer manages the overall fellowship ministry, while the SOH Pastor shepherds the local congregation. 

The appointment of the SOH Overseer and Pastor is drawn from among the established SDM Leaders, ensuring continuity, maturity, and alignment with the SDM Framework.

No independent appointment, announcement, or representation may be made in the name of SDM without authorization from the SDM Overseer.

4. Governance and Operation

Every Sanctuary of Hope Fellowship shall operate in accordance with SDM doctrine, policy, and ministry standards.

The Fellowship shall conduct regular worship services, Bible studies, prayer meetings, and community outreach.

Administrative, financial, and ministry reports shall be submitted to the SDM Ministry Board through the SDM Overseer.

The SOH Overseer may establish local committees or ministry teams for specific functions, subject to SDM approval.

5. Expansion and Development

New Sanctuary of Hope Fellowships may be planted upon the recommendation of the SDM Ministry Board and approval of the SDM Overseer.

Each new Fellowship shall be registered and recognized as an official part of the SDM Sanctuary of Hope Network.

The development and direction of SOH Fellowships globally shall be coordinated under the SDM Family Group.

6. Accountability

Sanctuary of Hope Fellowships are accountable to the SDM Overseer through the SDM Ministry Board.

All financial and operational activities shall comply with SDM Byelaws.

The SDM Overseer reserves the right to reorganize or restructure any Fellowship as deemed necessary for the advancement of SDM’s mission.

Section 6: SDM INTERNATIONAL INDIVIDUAL MINISTRIES

1. Establishment

The SDM International Individual Ministries are ministry entities personally founded or led by individuals who are affiliated with Sunshine Destiny Ministries (SDM).

These ministries function under SDM Ministry Board while maintaining their individual vision and assignment in Christ.

2. Purpose

To recognize and support individual ministries that are part of the SDM global family.

To facilitate cooperation, mentorship, and accountability among SDM ministers and their respective works.

To expand SDM’s reach through diverse ministry expressions in different nations and cultures.

To preserve unity of doctrine, integrity, and alignment with SDM’s vision across all affiliated ministries.

3. Structural Placement

All International Individual Ministries are structurally placed according to their origin countries under the 7 Pillars of SDM, which represent the 7 Continents of the World.

Each Pillar symbolizes SDM’s global prophetic foundation and international mandate to impact all continents.

Ministries within each continent shall be coordinated through regional leadership appointed by the SDM Overseer.

The SDM Overseer retains authority to recognize, restructure, or reassign ministries within the global framework as led by the Holy Spirit.

4. Authority and Oversight

The SDM Overseer provides spiritual oversight to all International Individual Ministries.

The SDM Ministry Board ensures ministry accountability and alignment with SDM doctrine and policy.

Ministers leading SDM-affiliated individual works shall maintain fellowship and communication with SDM through their continental or regional coordinator.

5. Functions and Responsibilities

Participate in SDM international conferences, training, and mission initiatives.

Submit annual ministry updates and activity reports to SDM.

Promote the unity, values, and vision of SDM within their own ministerial contexts.

Operate ethically and transparently, maintaining good testimony in both ministry and community engagement.

6. Recognition and Accountability

Each International Individual Ministry shall be officially recognized by SDM upon approval by the SDM Overseer.

Recognition may include certificates, letters of fellowship, or listings in SDM global directories.

Failure to maintain accountability, doctrinal alignment, or ethical conduct may result in withdrawal of SDM recognition.

7. Global Coordination

The SDM Family Group shall work collaboratively to maintain unity among International Individual Ministries.

Reports, conferences, and fellowships shall be organized regionally and globally to strengthen the prophetic network of SDM.

Section 7: Sunshine Dream Village (SDV) & Social Works

1. Establishment

The Sunshine Dream Village & Social Works (SDV) is the official humanitarian and community development arm of Sunshine Destiny Ministries (SDM).

It exists to demonstrate the compassion of Christ through practical service, empowerment, and holistic community transformation.

2. Purpose

To provide care, support, and empowerment to the underprivileged, marginalized, and vulnerable in society.

To promote community development, education, healthcare, and sustainable livelihood initiatives.

To build model Christian social communities that reflect godly love and responsibility.

To fulfill SDM’s prophetic calling to restore hope, dignity, and purpose to individuals and families.

3. Scope of Work

Establishment and operation of Sunshine Dream Village centers as community-based care and development hubs.

Implementation of social, educational, medical, and welfare programs.

Provision of relief and rehabilitation services during emergencies and disasters.

Vocational training and income-generating programs that promote family and community sustainability.

Support and care programs for orphans, widows, and the elderly.

4. Management Structure

The SDV Care Committee shall manage all social projects and community programs under Sunshine Dream Village & Social Works.

The SDV Care Committee shall operate directly under the authority of the SDM Overseer and be accountable to the SDM Ministry Board.

The SDV Care Committee shall consist of appointed members who demonstrate Christian integrity, compassion, and commitment to community service.

The SDV Care Committee shall plan, supervise, and evaluate all SDV programs in coordination with the SDM Ministry Board.

5. Authority and Oversight

Sunshine Dream Village & Social Works functions under the oversight of the SDM Overseer and the SDM Ministry Board.

All programs, appointments, and partnerships under SDV require official approval from the SDM Overseer.

6. Financial Management

All funds, donations, and grants for SDV shall be handled transparently within SDM’s financial system.

Financial and project reports shall be submitted annually to the SDM Ministry Board.

All assets, properties, and resources of SDV remain under the ownership of Sunshine Destiny Ministries (SDM).

7. Partnerships and Collaboration

SDV may cooperate with government agencies, NGOs, churches, and private partners, provided all projects align with SDM’s Christian values.

Any formal agreement or external representation shall be executed only with the approval of the SDM Overseer.

8. Spiritual Integration

All SDV programs shall uphold Christian values of love, integrity, and service.

Prayer and compassion shall be integral to all activities.

Every initiative under SDV shall reflect SDM’s mission of “Raising People, Restoring Destinies.”

Section 8: SDM School of Ministry

1. Establishment

The SDM School of Ministry is an official ministry institution of Sunshine Destiny Ministries (SDM), established to provide sound biblical education, ministerial training, and spiritual formation in alignment with the vision and doctrine of SDM.

2. Purpose

To equip believers for effective service in the church, community, and marketplace.

To train and prepare candidates for commissioning and ministry credentials under SDM.

To promote biblical literacy, spiritual maturity, and leadership excellence among Christians.

To offer Certificate in Ministry and other approved study programs endorsed by SDM.

3. Authority and Oversight

The SDM School of Ministry functions under the direct supervision of the SDM Overseer.

The SDM Director, Principal, and Registrar shall form the SDM School of Ministry Committee, responsible for planning, coordination, and implementation of all academic and administrative functions.

The SDM Director shall oversee the strategic and spiritual direction of the SDM School of Ministry.

The Principal shall manage academic and operational matters.

The Registrar shall handle admissions, records, and documentation.

All teaching materials, curricula, and instructors must align with SDM’s doctrine, values, and ministerial standards.

4. Administration

The administrative affairs of the SDM School of Ministry shall be managed by the SDM School of Ministry Committee, supported by appointed academic and support staff.

The SDM School of Ministry shall maintain accurate student records, course materials, and evaluation reports for submission to the SDM Overseer.

5. Programs and Certification

The SDM School of Ministry shall design and conduct approved courses and training programs, including online and in-person study.

Certificates, awards, and recognitions issued by the SDM School of Ministry shall bear the official seal and approval of SDM.

6. Accountability

The SDM School of Ministry is accountable to the SDM Overseer.

Financial operations shall comply with SDM financial policy and be reported through the SDM Management Board.

Section 9: SDM Governance

1. Governance Principle

The governance of Sunshine Destiny Ministries (SDM) shall be based on biblical principles of servant leadership, accountability, integrity, and collective responsibility under the Lordship of Jesus Christ.

SDM shall function as a prophetic and apostolic ministry governed through structured leadership and guided by the Holy Spirit.

2. Governing Authority

The SDM Overseer is the principal spiritual and administrative head of SDM.

The SDM Overseer provides spiritual direction, approves major decisions, and upholds the overall vision and integrity of the ministry.

The SDM Ministry Board and the SDM Management Board assist the SDM Overseer in governance, ensuring effective policy implementation and ministry coordination.

3. Governing Bodies

1. The governance structure of SDM shall consist of the following SDM Management Board, SDM Ministry Board and bodies:

The SDM Overseer’s Office — Spiritual and administrative oversight.

SDM Ministry Board — Supervises all ministry activities, prophetic works, training, and community fellowships.

SDM Management Board — Handles administrative, financial, and operational matters.

SDM Family Group — Oversees family-related ministries, community fellowships, and relationship development within SDM.

SDM Departmental Units — Each department operates under appointed leadership, accountable to the respective SDM Management Board and SDM Ministry Council.

4. Decision-Making Process

All major decisions concerning governance, ministry expansion, property acquisition, financial commitments, or policy changes shall be subject to the approval of the SDM Overseer.

The SDM Overseer may delegate specific responsibilities to the SDM Ministry  Board or SDM Management Board as deemed necessary.

Decisions at SDM Management Board and SDM Ministry Board or departmental levels shall be made through collective consultation and recorded in official minutes.

5. Accountability and Reporting

All SDM boards, departments, and affiliated ministries are accountable to the SDM Overseer.

Regular meetings shall be held to review performance, ministry progress, and policy compliance.

Financial and operational reports must be submitted periodically to ensure transparency and good governance.

6. Conflict Resolution

Any internal conflict or grievance within SDM shall first be referred to the respective SDM Management or SDM Ministry Board for mediation.

If unresolved, the matter shall be brought before the SDM Overseer whose decision shall be final.

All conflicts shall be handled in accordance with Christian ethics and reconciliation principles.

7. Continuity and Transition

In the event of absence or incapacity of the SDM Overseer, the SDM Ministry Board shall ensure the continuity of ministry operations.

Transitional arrangements or temporary leadership shall be appointed by the SDM Ministry Board until the SDM Overseer resumes office or a new appointment is made according to SDM policy.

8. Autonomy and Affiliation

SDM is an autonomous Christian ministry network.

While partnerships and affiliations may exist, all decisions, properties, and ministries remain under SDM’s independent governance.

No external body may interfere with the internal governance of SDM without consent from the SDM Overseer.

Section 10: SDM Media Contents & Videography

1. Establishment

The SDM Media Contents & Videography Department is established as the official media arm of Sunshine Destiny Ministries (SDM).

It is responsible for the creation, documentation, publication, and distribution of all SDM-related media and communication materials.

2. Purpose

To communicate the vision, teachings, and prophetic messages of SDM effectively through media platforms.

To preserve SDM’s ministry activities, conferences, and outreach programs through digital documentation.

To promote the message of Christ with excellence and integrity in all audiovisual productions.

To ensure SDM’s name, logo, and brand identity are properly represented in all media works.

3. Scope of Work

Recording and production of SDM events, services, conferences, and seminars.

Creation and management of SDM’s official media content, including videos, audio messages, photographs, and publications.

Supervision of SDM’s online presence and digital communications, including websites and social media platforms.

Development of promotional materials, newsletters, and documentaries for ministry and outreach purposes.

Archiving of official SDM media records for historical and administrative reference.

4. Authority and Oversight

The SDM Media Contents & Videography Department functions directly under the authority of the SDM Overseer. 

All official media productions, public communications, or promotional materials must receive approval from the SDM Overseer prior to release.

The SDM Overseer may appoint a Media Coordinator or Team Leader to oversee production and manage personnel.

All media requests must be submitted to the SDM Executive Secretary, who will coordinate with the Media & Videography Director to execute the request. No media work shall proceed without prior approval from the SDM Overseer.

5. Ownership and Rights

All media materials, including video, audio, photographs, publications, and digital content produced under SDM, are the exclusive property of Sunshine Destiny Ministries (SDM).

No reproduction, sale, or external distribution is permitted without written authorization from the SDM Overseer.

All recordings of SDM events shall bear SDM’s official logo and acknowledgment of copyright ownership.

6. Media Conduct and Standards

All media personnel shall conduct themselves in a manner that reflects Christian values, professionalism, and respect for privacy.

All content must uphold SDM’s doctrine, spiritual ethos, and moral standards.

No media content shall be used for personal promotion, commercial gain, or misrepresentation of SDM.

The Department shall maintain confidentiality in handling all sensitive or internal materials.

7. Partnerships and Collaboration

SDM may collaborate with trusted media professionals or organizations for production, broadcasting, or publication purposes.

All external collaborations or media contracts must be approved by the SDM Overseer.

8. Archival and Preservation

All official SDM media materials shall be securely stored in SDM’s digital and physical archives.

Copies of significant events, conferences, and prophetic gatherings shall be preserved for future reference and historical documentation.


ARTICLE XIII – FINANCIAL POLICY

Section 1: Principle of Stewardship

Sunshine Destiny Ministries (SDM) recognizes that all financial resources are given by God and must be managed faithfully, transparently, and responsibly.

Every financial decision and expenditure shall honor God, uphold integrity, and support the mission of SDM: “Raising People, Restoring Destinies.”

Section 2: Financial Authority

The SDM Overseer is the principal authority over all financial matters of SDM.

The Overseer shall ensure that all funds are properly accounted for and used in accordance with SDM’s objectives.

The SDM Management Board is responsible for the supervision, documentation, and reporting of all financial transactions.

Appointed treasurers, finance officers, or accountants shall handle funds under the direction of the SDM Management Board.

Section 3: Sources of Funds

SDM’s financial resources may be derived from the following sources:

Voluntary offerings, tithes, and donations.

Ministry activities, conferences, and training programs.

Grants, sponsorships, and partnerships approved by the SDM Overseer.

Sales of authorized SDM publications, materials, or merchandise.

Any other lawful source consistent with the values and purpose of SDM.

Section 4: Use of Funds

All SDM funds shall be used exclusively for ministry operations, humanitarian works, missions, training, and community development.

Expenditures shall be approved according to SDM’s financial authorization procedures.

No personal or unauthorized use of SDM funds is permitted.

The SDM Overseer shall ensure equitable allocation of resources across departments and ministries.

Section 5: Financial Records and Reporting

Accurate records of all income and expenses must be maintained.

The SDM Treasurer or assigned finance officer shall prepare periodic financial statements for review by the SDM Management Board.

Annual financial reports shall be presented to the SDM Overseer for approval and archiving.

All accounts shall be subject to internal review or external audit when deemed necessary.

Section 6: Banking and Signatories

SDM shall maintain official bank accounts in the ministry’s registered name.

The SDM Overseer and designated officers shall be the official signatories to SDM accounts.

No personal or third-party account shall be used for SDM funds.

All bank transactions must follow proper documentation and approval processes.

Section 7: Asset Management

All assets, properties, and resources acquired under SDM belong to Sunshine Destiny Ministries (SDM).

The sale, transfer, or disposal of any SDM asset requires written approval from the SDM Overseer.

Accurate records of ministry assets shall be maintained by the SDM Management Board.

Section 8: Financial Ethics

All financial dealings shall be conducted in honesty, transparency, and accountability.

SDM officers or members found mismanaging or misappropriating funds shall face disciplinary action, including termination of service.

SDM’s financial practices shall reflect biblical stewardship and uphold public trust.

Section 9: Confidentiality and Security

All financial information and donor details shall be treated as confidential.

Secure systems shall be used for record-keeping, online giving, and fund transfers.

Unauthorized access or disclosure of financial information is strictly prohibited.

Section 10: Review and Amendment

The SDM Financial Policy shall be reviewed periodically to ensure compliance with legal, ethical, and ministry standard.

Any amendment must be approved by the SDM Overseer.

SDM operates on freewill offerings, tithes, donations, and ministry contributions.

All funds shall be used strictly for ministry purposes.

The SDM Treasurer shall maintain transparent financial records for accountability.


ARTICLE IX – MEETINGS

Section 1: Principle of Fellowship and Order

Sunshine Destiny Ministries (SDM) upholds the biblical principle of unity and order in all its gatherings.

Meetings shall be conducted in a spirit of prayer, humility, and collaboration, guided by the Holy Spirit for the advancement of SDM’s vision and objectives.

Section 2: Types of Meetings

Management Meetings – Held quarterly for ministry updates, board review, and governance matters

Ministry Meetings – Convened as and when requested by the SDM Overseer, for coordination and ministry alignment.

Seminars & Conferences – Organized for the SDM Family, leadership gatherings, and community engagement.

Emergency Meetings – May be called by the SDM Overseer or the SDM Management Board when urgent or exceptional matters arise.

All meetings can be held online such as Zoom or any other media platforms or any onsite location.

Section 3: Authority to Convene

The SDM Overseer has the ultimate authority to convene, authorize, or preside over any SDM meeting at local, national, or international levels.

The Chairman or Secretary of the SDM Management Board may call a meeting upon instruction from the SDM Overseer.

No meeting shall be held under the name of SDM without the knowledge or authorization of the SDM Overseer.

Section 4: Notice of Meetings

Adequate notice shall be given before all scheduled meetings:

Regular or Management Meetings: at least seven (7) days’ notice.

Emergency Meetings: at least twenty-four (24) hours’ notice, or as directed by the SDM Overseer.

Notice may be served by written, electronic, or verbal means as appropriate.

Section 5: Quorum

A simple majority of eligible members shall constitute a quorum for decision-making in official meetings.

In the absence of quorum, the meeting may be adjourned and reconvened at the discretion of the SDM Overseer or presiding officer.

Section 6: Presiding Authority

The SDM Overseer or a duly appointed representative shall preside over all official SDM meetings.

The Secretary or Recording Officer shall document and preserve minutes of proceedings.

In the absence of the SDM Overseer, the Chairman or any principal member of the SDM Management Board may preside if so authorized.

Section 7: Decision-Making

Decisions shall be reached through prayerful deliberation, consensus, and where necessary, by majority vote.

The SDM Overseer’s decision shall be final on matters of doctrine, appointments, or ministry direction.

Dissenting views shall be respectfully recorded in the minutes.

Section 8: Minutes and Records

Minutes of every meeting shall be accurately recorded, signed by the Chairman and Secretary, and securely stored for reference and accountability. Digital signatures may be used.

Copies of official minutes shall be made available to relevant members or departments upon request.

Section 9: Confidentiality

All matters discussed in SDM meetings are confidential and may not be disclosed without authorization.

Breach of confidentiality is subject to disciplinary action.

Section 10: Spiritual Conduct

All meetings shall begin and end with prayer.

Discussions shall reflect love, unity, humility, and the principles of Christ-centered leadership. 


ARTICLE X – OWNERSHIP OF MINISTRIES

Section 1: Individual-Owned Ministries

SDM International is designed for ministers who carry their own God-given ministries. Although the ministries are aligned with SDM, they remain individually owned and operated. SDM provides spiritual covering, structure, and positioning within the global SDM Framework, while the ministry continues to function independently.

Characteristics:

Owned and administered by the founder.

Operates under SDM’s prophetic and doctrinal oversight.

Maintains autonomy but reports for accountability.

Encouraged to cooperate with SDM projects and conferences.

Section 2: SDM-Owned Ministries

SDM-Owned Ministries are supporting ministries established under the legal entity of SDM (affiliated to AFC). These ministries operate fully under SDM’s authority, structure, and financial governance.

They are created to strengthen the overall SDM Framework and may include ministries such as Sanctuary of Hope (SOH), SDM School of Ministry and Other SDM-established support ministries.

Since these ministries are legally under SDM, all income, offerings, and financial support received belong to SDM. The principal ministry may explore various avenues for funding, but all funds channelled into these ministries are accountable to SDM.

SDM Owned Ministries directly governed and administered by Sunshine Destiny Ministries.

Characteristics:

Owned entirely by SDM.

Governed by the SDM Overseer and SDM Ministry Board.

Financially and administratively under SDM control.

Represents SDM’s official mission and programs.        

Section 3: Relationship and Cooperation

Both categories are part of the SDM Family.

All ministries operate in unity under the SDM Overseer’s prophetic vision.

Individual ministries extend SDM’s reach through their own callings.

SDM-Owned Ministries serve as the official arms of SDM operations.


ARTICLE XI – PIONEER STAGE

Section 1: Definition

The Pioneer Stage refers to the initial establishment phase of SDM, during which the foundational structure, leadership framework, and ministry arms are being developed and expanded globally.

Section 2: Characteristics

The SDM Overseer provides direct leadership and spiritual oversight over all SDM operations.

The SDM Management Board functions primarily in an advisory and administrative capacity.

Ministry structures such as Sanctuary of Hope (SOH) and SDM School of Ministry operate under formative development.

Membership and credentialing remain flexible as systems are refined.

Financial policies emphasize stewardship and sustainable growth.

Section 3: Transition

1. The Pioneer Stage continues until SDM has:

Fully established national and international frameworks.

Regularized credentialing and ministerial systems.

Launched registered branches and training programs.

Adopted these Byelaws globally.


ARTICLE XII – AMENDMENTS

These Byelaws may be amended by a two-thirds (2/3) approval of the SDM Management Board upon the recommendation of the SDM Overseer.


ARTICLE XIII – DISSOLUTION

In the event of dissolution, all remaining assets of SDM shall be distributed to Christian ministries or charitable organizations sharing similar beliefs and objectives, as approved by the SDM Management Board.


ARTICLE XIV – DECLARATION

These Byelaws were formally adopted by the SDM Management Board on this day 16th of November in the year 2025 , and they supersede all previous organizational internal regulations and Bye-Laws.


ARTICLE XV: SIGNATURES AND ADOPTION PAGE

These Bye-Laws are hereby approved and adopted by the SDM Management Board on this day 16th of November in the year 2025.
